Sirius XM Shares Defy Gravity As Investors Wonder Whether Liberty Might Take Over

The satellite radio company’sshares are up 11.4% since early Thursday while other NASDAQ stocks collectively are down 4.4%. What’s going on? Well, it seems that many analysts who attended Liberty Media’s annual dog-and-pony show for them on Thursday came away convinced that Sirius XM is preparing to see John Malone lift his company’s 40% stake well past 50%. He has to wait until March to avoid taking a tax hit on such a move — and we all know how much Malone hates to pay taxes. After that there’d be a tax advantage: Sirius has $8B in net operating losses that could be used to shelter future payments. That’s great now, although the losses “sucked” when the company was racking them up,CEO Mel Karmazin told Liberty investors at last week’s gathering. So, is Liberty interested in buying Sirius? A lot of comments that Liberty CEO Greg Maffei made last week sure make it sound that way. “There are few businesses that I have as much confidence in,” he said.”Boy, it’s got a heck of a tail wind behind it. Find me another business” with as much opportunity. Sirius’ first consumer rate hike, coming in January,”is a great opportunity and there’s a potential for more…(Profit) margins will expand….It’s our kind of business.” He added that his company decided to convert its two tracking stocks — Liberty Starz and Liberty Capital — into a single, asset-backed security in part because “we’ve been seeking attractive investment opportunities.”So would Karmazin, whose contract runs through 2012,want Malone to move in? He didn’t rule it out. Karmazin says that Sirius is “generating so much free cash flow” that the board will consider whether it should return some of that to shareholders. That could include ashare repurchase that also would boost Malone’s stake, unless they agree to terms to prevent that. Some believe that Sirius would only repurchase shares if Malone agrees to pay a control premium. But there’s enough out there to persuade Lazard Capital Markets analyst Barton Crockett upgrade Sirius to “buy” noting that a “mega share repurchase” is”a distinct possibility that we believe is a core part of Liberty Medias attraction to Sirius.”

Warner Bros Televisions Bruce Rosenblum Chosen New TV Academy Chairman/Boss Wants More recent People More Positively Involved

WEDNESDAY 9:30 PM UPDATE: Nikki Finke spoke to Warner Bros TV’s Bruce Rosenblum immediately after the Academy Of Television Arts & Sciences Board Of Governors chosen him the brand new Chairman/Boss for any 2-year term. Rosenblum have been opposed by Nancy Bradley Wiard, an experienced TV Academy officer presently in her own second term as first vice chair: “Nancy had a lot more many years of experience and was very familiar to all the governors and understood the workings from the Academy. I believe I gave them a pleasant alternative choice. I dontlook this new position as many head aches. I view it being an chance to utilize all of the governors to create a restored feeling of vitality towards the organization. I’m wishing to create a larger perspective towards the Academy making it more relevant thanjustthe Emmys. It may’t you need to be about people getting an Emmy election. You will find possibilities for morephilanthropic sort out the building blocks. And more powerful diversity initiatives. And also the Academyhas to become more highly relevant to people. Ihopewith my fellow officials todiligantly sort out the political disorder and obtain more recent people more positively active in the Academy. Theissues all around the Emmys themselves is going to be worked with through the Board of Governors and also the Committee Chairmen. This wrestling with how to deal with the Emmysdates back 2 decades. You will find very difficult solutions.” Finally, requested ifthat thorn in Warner Bros TV’s side Charlie Sheen is going to be showing in the Emmys in the near future throughout his tenure, Rosenblum responded, ‘Oh Nikki, you make me laugh.’ 8:45PM: Such a surprise given how eclectic and unpredictable its voters could be and also the discord and infighting within the organization itself. However the Academy of Television Arts & Sciences has chosen Warner Bros Television Group leader Bruce Rosenblum since it's next chairman/Boss.ATAS hands the annual Emmys honours. Rosenblum, who supports the title of Office from the Leader, Warner Bros Entertainment (together with Shaun Robinov and Kevin Tsujihara) wasessentiallyrecruited to runin theelection to exchange current chair John Shaffner, the Emmy-winning art director.Rosenblum was opposed byNancy Bradley Wiard, an experienced ATAS officer presently in her own second term as first vice chair.Rosenblums entry would be a significant development both inside and outdoors the Academy since the position hasnt were built with a large title since former Wally Disney Galleries leader Wealthy Frank last offered within the mid-the nineteen nineties.Like a candidate Rosenblum was questionable since his Warner Bros TV utilizes lots of theindustry and representing the television Academy might be interpreted like a conflict. Also, some were perplexed why Rosenblumthe new gig’svarious head aches. But others felt Rosenblum could return the television Academy’s stature. But Wiard contended thather many years of service and insider understanding of ATAS would be a plus. Here's what Rosenblum stated in the Academy dinner: I'm truly honored to become talking to you tonight. When i first grew to become familiar with the Academy after i would be a lawyer at Dixon Dernsfirm in early eighties, and 3 decades later, a lot of our industry continues to be same. But, a lot haschanged. Technology is moving our industry forward in an incredible pace. Netflix, Huluand Google have permanently transformed our landscape. Now over time, it is essential our Academy evolve and move ahead aswell. However for me, our role being an Academy isn't nearly business. Its aboutpassion, the talent symbolized in most in our peer groups, and also the incredibleprocess of story telling. My adoration for television began after i was youthful. I recall coming ontothe lot at CBS to look at The Carol Burnett Show. Today, I do not need to sneak to the lot. However I obtain the same emotional highwhen I go to the teams of our shows. My adoration for television hasn't numbed, and from the quality perspective, In my opinion we're inside a golden chronilogical age of television. Being an Academy, you should be very happy with the Emmys, but we have to remainrelevant with all of people beyond just September. We have to increase our brand awareness, our visibility and our stature. We have to get ready for the Academys future through initiatives for example:elevated professional development occasions, elevated revenue possibilities, including digital and proper partnersponsorships,a restored concentrate on diversity initiatives, elevated financial support for that philanthropic efforts from the Foundation,an offer to limit runaway production,a large-time Way forward for Television Summit backed through the Academy andhighlighting digital possibilities for the people. I've two-and-a-half decades of expertise in the leading television studio. I've direct knowledge about how our market is altering. It's things i dealwith every single day. My encounters like a Board Chair at other organizations has proven me that successin this role are only able to originate from listening, working together and building consensus. Leadership requires a lot more than tenure leadership is all about vision for future years- leadership is increased by hands-on, day-to-day experience, influence, andrelationships. After talking to the majority of you throughout yesteryear couple of several weeks, I'm urged bythe passion within this room to embrace the near future, not retain things as they are. And, there's passion within this room to maneuver past the politics that havesometimes limited the potency of this organization. This shouldn't be an election about maintaining business as always it's timefor us to evolve and embrace an image for future years. An image where we are able to fare better. I loved volunteering around the Executive Committee while Dick Askin was Chair. I'd be honored to possess your support tonight, and that i anticipate volunteering wonderful you once more.
